Terms and Conditions

RAPIDO is a proprietary product or service designed to provide GPS-powered emergency service smartphone directory.

By downloading, installing, or using the software, the user agrees unconditionally to the terms of this End User Agreement. ("Agreement") If you do not agree with these terms, do not download, install, or use the software.

This Agreement is between you and RAPIDO, which may include software and documentation together with related online services.

  1. Age and Capacity.

    You represent and warrant that you are eighteen (18) years of age or older.

  2. Registration and Personal Information.

    You may be required to provide to RAPIDO, as certain personally identifiable information. ("Personal Information") RAPIDO’s retention and use of all Personal Information shall be subject to RAPIDO’s privacy policy posted on its website, as that policy may be updated by RAPIDO in its discretion from time to time.

  3. Automated Reporting.

    The application including any software, may be configured to periodically check your computer system for, and report back to RAPIDO without additional notice to you, anonymous information relating to your use, such as the frequency of your use and/or certain features, your configuration settings, and information on computer errors occurring during your use, if applicable. Such configuration may include functionality that allows for the transmission of data about your computer system to RAPIDO (for instance the version of operating system you are using, or details of other programs you may be running) to enable RAPIDO to better understand why bugs may occur and to enable RAPIDO to improve the application. The software may contain a specific identification number for the purpose of tracking the number of unique instances of the software being used by you. This functionality may continue to function post-termination, which you consent to, but can be disabled by uninstalling the software.

  4. Updating.

    RAPIDO, including any software, may contain an "Automatic Update" feature that may gather information from your computer in connection with its updating functionality; and, if so, you consent to its use. This functionality may continue to function post-termination, which you consent to, but can be disabled by uninstalling the software.

  5. Ownership.

    You acknowledge and agree that the application, including any software, is a proprietary product or service of RAPIDO protected under law. RAPIDO owns the application, including any software, and retains all rights not expressly granted to you.

  6. Feedback.

    You acknowledge and agree that the application, including any software, is a proprietary product or service of RAPIDO protected under law. RAPIDO owns the application, including any software, and retains all rights not expressly granted to you.

  7. Confidential Information.

    All non-public information disclosed by RAPIDO to you will be referred to collectively in this Agreement as "Confidential Information." Such information will include, but not be limited to, the Application, including any software, its documentation, marketing information, and Feedback. All Confidential Information and any derivative thereof will be the property of RAPIDO, and no license, intellectual property rights or other rights to Confidential Information will belong to you.

  8. Termination.

    This Agreement is valid for the Term stated in this Agreement. Notwithstanding, your breach of this Agreement will result automatically in the immediate termination of this Agreement by RAPIDO and may be cause for exclusion in all other RAPIDO-sponsored projects, in addition to other remedies available to RAPIDO under applicable law.

    The clauses that survive termination shall continue in full force and effect even after termination of this Agreement.

  9. Relationship.

    This Agreement does not create an employment, partnership, or agency relationship between the parties.

  10. Assignment.

    You may not assign or transfer this Agreement without the prior written consent of RAPIDO.

  11. Entire Agreement.

    This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.

  12. Separability

    If any provision of this Agreement is declared illegal or unenforceable, its invalidity shall not affect the other provisions of this Agreement that can be given effect without the invalid provision. If any provision of this Agreement does not comply with any law, ordinance, rule or regulation, such provision to the extent possible shall be interpreted in such a manner to comply with such law, ordinance, rule or regulation, or if such interpretation is not possible, it shall be deemed to satisfy the minimum requirements thereof.

  13. Governing Law and Dispute Resolution.

    This Agreement shall be governed by and construed in accordance with the laws of the Philippines. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof shall be settled by arbitration in the Philippines by a panel of three (3) arbitrators in accordance with the Philippine Dispute Resolution Center, Inc. ("PDRCI") Arbitration Rules as at present in force. Should interim judicial relief be necessary in connection with this Agreement, the parties may seek appropriate relief before the courts of Taguig City to the exclusion of other venues.

  14. Notices.

    Any notices or other communication will be addressed to any email address or mobile number that you may provide and will be deemed communicated when so emailed, or sent by SMS or text.
